Prior Experience in Investment Banking and Management Consulting

In 1983 Mr. Rosenfield formed Business Development Group, Inc., a company that provided General Management Advisory, Sales Development Programs, and transaction-oriented Investment Banking Services to leading publishers of major daily newspapers, trade magazines, consumer magazines, directories, data bases developers, and other media firms. During these years of media advisory he built strong relationships with CEOs of most major media companies, and still maintains relationships with these people. He is a published author and recognized expert in advertising sales and sales management. Mr. Rosenfield has authored training manuals and worked with large sales organizations on technique for advertising sales and teleselling.

Mr. Rosenfield acted as advisor or intermediary in more than 50 merger and acquisition assignments for non-internet businesses ranging in size from $1.0 to $400.0 million. This included identification of targets for acquisition, deal architecture, valuations, due diligence, negotiations, and full documentation in Confidential Business Briefs prepared for Board approval.

In one example, by applying techniques he developed for a proactive acquisition search, he completed five sequential transactions for a single client. These acquisi­tions established the client as a $200.0 million leader in a new publishing segment and provided ROI pay back in 2.5 years. Client company recently sold its division for 10x its cost of acquisition after 10 years of 30% - 40% margins on operation earning $500,000,000+ in the transaction.

In another example, he was engaged by the CEO and COO of a $70.0 million company to assist with corporate restructuring. For this assignment he created and engineered a new “Focus on Functional Excellence”. This Functional Excellence program resulted in significant product improvement, new profit center development, a shift in management philosophy, stronger strategic position of products within core markets, realignment of personnel, and improved annual revenue and profits. This assignment also included assistance with corporate valuation as well as private intermediary in acquisitions and divestitures. This resulted in the company stabilizing its loss, and becoming a target for acquisition at $100.0 million.

Mr. Rosenfield was engaged by the CEO and COO of $150.0 million trade magazine publishing company to design, launch, and assist with implementation of a new Total Quality Management process. This included initiating an editorial auditing process, developing the selling strategy for a 200 person sales organization, authoring a Quality College manual, training sales people in a new Power Selling approach, coaching 80 managers and liaison with 5 Group Presidents. He also adapted these principles to telephone selling for 3 departments and 38 tele­phone sales representa­tives. His program resulted in a significantly higher profile of the company among customers and prospects, substantial in­cremental revenue and profit as well as other intangible benefits re­lating to morale in the company. Later assignments also included assistance with acquisitions and other transactions. The Chairman of the company reported that Mr. Rosenfield’s efforts increased the profit of the company by $11.0 million annually.

Prior to Business Development Group, Mr. Rosenfield was an executive at Lebhar-Friedman, Inc., the leading publisher of periodicals for retailers. He was actively involved with the retail industry. The company specializes in magazines and newspapers for operating executives at headquarters of major supermarkets, drug stores, restaurants, home centers, mass merchandise stores, discount stores, convenience stores, and other retail channels. By executing strategic improvements in sales, staffing, cost controls, and productivity he played a key role to turn a troubled business profitable. Nation’s Restaurant News became one of the top 20 largest business newspaper/magazines in the United States while under his management. This newspaper went from a $1.0 million annual loss to $4.0 million profit.

Similar accomplishments were achieved during his early career as a Network Sales Representative at Ziff-Davis (1975-1976), Petersen Publishing Company (1970-1975), and Geyer McAllister (1969-1970).

Gifted-Children.com

Mr. Rosenfield is partner with Arthur Lipper III as producers of Gifted-Children.com. Gifted-Children specializes in the identification, encouragement, and development of gifted and talented children. It is a networking and information medium dedicated to making a difference in the pursuit of educational excellence for children of special talents and abilities. Gifted Children Monthly, a multi-award-winning newsletter "for the parents of children with great promise," was originally created in 1979 by Arthur Lipper III.

Education

Mr. Rosenfield has Graduate level and undergraduate BS studies in Psychology and Sociology at Springfield College, Springfield Massachusetts.
