Concept Our concept is to have a floating operation. Due to the calm waters we can operate a shallow draft Trimaran design boat. The mother ship or floating hotel will measure 132’ X 32’ with 2.5 decks. I have attached a separate information sheet on the mother ship. A second support vessel will be necessary. This vessel will house all the guides, carry additional supplies and act as a dive platform for our divers. During the summer months when fishing customers slack off we will offer Eco tours along with Maya Ruin Tours up the rivers. This will eliminate the shutdown time costs. A two week heavy maintenance time will be scheduled each year for out drive and engine work. Fishing however is excellent in the summer months and many anglers will come. Divers are pretty constant all year long. We can mix different classes of customers on the same trip without interference. No different than a hotel. Some people go fishing, some go diving and some lay on the beach. Smaller groups or families wish to have a unit to them selves will have the option at a corresponding fee. The basic tour starts at Placencia and works it way north to Ambergris Caye. The trip will reverse itself every other week. This will eliminate dead time and dead head mileage. Project Overview The total cost of the project is $1,740,000. Each investor must invest 100,000 in cash. Each investor will receive ten percent of the outstanding shares of the Company. We will form a limited partnership in the US of which each investor will be a partner. The US limited partnership will purchase both the big boats the support and guide boat and the fishing boats. We will finance the boat purchases at 20% equity. The investors will be required to sign for the loan on behalf of the limited partnership. The boats will stand as collateral. Total loan value of $960,000 is required. The payments on the loan will be approximately $12,500 per month. This money will be paid to the limited partnership in the form of lease payments by the Operating Company. The financing of the boats provides investors with many advantages including; reduced cash investment required, less investors required, higher returns per investor and ease of management. Potential Customers Our potential customers are a much larger group than normal fishing operations. The main factor is that fly fishermen are a very large group. Bait casters and bass fishermen will also be targeted. The following is our overall projected customer breakdown

The first will be through direct sales by the stock holders to friends and past customers. Secondly we will have a major Internet presence to attract new business. Third, we will develop an agency system of specialized individuals or companies that are involved in the industry. Fourth, we will also enjoy the participation of normal travel agencies that book family vacations and Eco Tours. Additionally a monthly news letter will be produced and sent to over 20,000 people.

Belize page three The Company will employ a national sales manager. This dynamic person will be located in our Placencia office. His/her task will be to coordinate both direct sales and agency sales. Developing of relationships with established agents and outfitters is important. Additionally this person will attend sport, fishing and diving shows in the US to promote our services Pricing and Packages The revenue figures I have attached are based on a start up price structure. They are based on current market prices and are slightly lower than similar operations. Once we have established ourselves in the market place we should increase our price structure. Our main package will be based on a 7 night trip with 6 days of fishing or diving. However we will also offer 6 nights with 5 days of fishing trips along with a 4 night 3 days fishing or diving trip. Three night two day trips will be sold exclusively by local area agencies and hotels or offered as last minute specials on a space available basis. We will accomplish this through the use air service to different Cayes and the boats re-supply stop each week at Belize City. We will use the new Fiesta Hotel as our base in Belize City and also offer combination land and sea packages. Management The day to day operations and the Administration of the Company will be managed by Ing. Daniel Wentworth Espinoza. Dan is a retired pilot and has spent a great deal of time in the Caribbean. He is familure with the area and very knowledgeable in boat operations. A chief guide will be hired from the local area to assist Dan. The candidate for this position must have extensive experience in fishing all the areas of Belize. He will be responsible for the hiring of the individual guides. Unlike other areas we are not restricted to hiring guides from a certain town or area. We will need to maintain a small office and reservations center in Belize City. This will be staffed by a secretary and a driver/expediter. The secretary will coordinate the movement of our customers.. She will be available via internet or phone. The Expediter will perform the airport customer transfers and pick up supplies, spares and groceries as needed. He/she will also coordinate local sales. Our general operations office will be located in Placencia. This office will be staffed by an Office manager and the Sales manager. The office manager will be responsible for maintaining the central reservations office and preparing revenue and expense reports for the submission to our accounting firm. She will also coordinate other shore activities. Even though Dan will be spending 90% of his times with the mother boat insuring proper service levels are maintained he will be in constant contact with both of the offices through radio and cellular service. Internet is available at two the trips stops. Each investor will be a member of a board of directors of the operating company. This board of directors will make policy, expansion, and dividend disbursement decisions. The services of a certified public accountant will be used to produce monthly financial statements and audits.
